Welcome to Vacaj!

Please read these Terms of Use and any additional terms before using the Vacaj Platform. By using the Vacaj Platform, you warrant, understand, agree to and accept these Terms and any additional terms in their entirety. If you do not agree to be bound by these Terms, you may not access and/or use the Vacaj Platform.

These Terms of use are a binding legal agreement between you and Vacaj that govern the use of the Vacaj online platform (“Vacaj Platform”).

The Vacaj Platform is a venue for Services and has been created and operated exclusively by the company under the name “VACAJ SINGLE MEMBER P.C.”, based in Athens.

General Terms

The Vacaj Platform is available worldwide and is quick and easy to use.

Vacaj is a platform that enables users (“Users”) to publish, offer, search for, find and book services. Users who publish and offer services are “Suppliers” and Users who search for, find, book or use services are “Guests.” Suppliers offer Services or Listings such as babysitting, guiding, chauffeuring and a variety of other services such as, guided tours in different areas, chauffeur services and other services. You must register an account to access and use the features of the Vacaj Platform and must keep your account information accurate.

Vacaj does not own, control, offer, sell, publish or manage any Suppliers Services or Listings. Vacaj is not a party to the contracts entered into directly between Suppliers and Guests. Vacaj acts as a commercial agent for the Suppliers. Guests can learn more about Suppliers Services or Listings by reviewing the description and photos, the Supplier, and past Guest reviews. The descriptions, photographs and other content for its own services originate from the Suppliers. We therefore have no direct influence on such content.

We maintain other terms and policies like our Privacy Policy, which describes what personal data we collect and our Cancellation Policy.

We reserve the right to modify or revise these terms of use whenever is necessary. When we propose changes to these Terms, we will post the revised Terms on the Vacaj Platform and update the “Last Updated” date at the top of these Terms.

Intellectual Property Rights

The content of the Vacaj Platform and specifically, but not exclusively, the texts, logos, photos and videos are the intellectual property of Vacaj.com and are used with the permission of their owners and are therefore protected by copyright, trademarks, patents and national intellectual property and other laws, regulations and international treaties. Accordingly, any copying, reproduction, modification, distribution and transmission, transfer or creation of derivative work based on this content or misrepresentation is prohibited, in whole or in part without our consent.

Provision of Information

The Vacaj Platform has compiled the content of Vacaj.com carefully, strictly respecting the truth and completeness of the information listed therein, regarding the identity of Vacaj and the transactions provided through the Vacaj Platform. Vacaj is not responsible and is not bound by electronic data entries that were made by error or by mistake according to common experience and is entitled to correct them whenever Vacaj becomes aware of their existence.

Guests Searching and Booking

Guests can search for Suppliers Services by using criteria such as type of Service, location, dates, times etc. The Vacaj Platform will show you Suppliers that match your criteria.

When you book a Service, you are agreeing to pay the applicable fees (“Reservation Fees”). When you pay the fees, you will receive the booking confirmation. When you receive the booking confirmation, a contract for Services is formed directly between you and the Supplier (“Service Agreement”). When you buy a Service on the Vacaj Platform, you are not buying anything from us, but directly from the Supplier. Service Agreements are concluded by us on behalf and for the account of the Suppliers. We act as a commercial agent for the Suppliers. We do not offer any activities ourselves and therefore do not become your contractual party to any Service Agreement. The contract between you and the Supplier is not set out in a separate contract text. The content of the Service Agreement results from the ordered service (i.e. the description of the Service selected by you).

In addition to these Terms, you will be subject to and responsible for complying with, all terms of the booking, including the cancellation policy and any other rules or requirements specified in the Suppliers Services or Listings. It is your responsibility to read and understand these rules and requirements prior to booking a Service.

Suppliers Offering a service

As a Supplier, Vacaj offers you the right to use the Vacaj Platform in accordance with these Terms to offer your Services and Listings and collect payments for it.

Suppliers can create a Listing and they are in control of how to set their rate/price, availability and rules for each Service/Listing. According to Section “Additional Terms for Business Suppliers”, additional terms apply for Business Suppliers. When you accept a booking request, or receive a booking confirmation through the Vacaj Platform, you conclude a contract directly with the Guest.

When concluding the contract, we act as the commercial agent of the Supplier. You are responsible for delivering the Service under the terms and at the rate/price specified in your Service/Listing. Suppliers are independent individuals or entities and not employees, agents or partners of Vacaj.

Suppliers shall meet all legal requirements to offer their services in their area. In some cases, this means that a specific license must be obtained from an appropriate authority.

Cancellations, Refunds and Booking Issues

Except as set in these Terms or as described on the Vacaj Platform at the time you make a purchase, all payments for services made on or through the Vacaj Platform are non-refundable and there are no refunds or credits for unused or partially used services, even if you cancel your service in the middle of a term.

In general, if a Guest cancels a booking, the amount refunded to the Guest is determined by the cancellation policy. In that case, Suppliers are not entitled to get paid for the canceled Reservation.

If the Supplier cancels, or if the Guest experience a Travel Issue, Guests may be entitled to rebooking assistance.

Suppliers should not cancel on a Guest without a valid reason. If Suppliers cancel on a Guest without such a valid reason, Suppliers’ calendar may be blocked for the dates of the cancelled reservation. The Supplier may cancel the Service on the agreed date if unforeseen events beyond their control arise, such as weather conditions, official measures or other external circumstances that are beyond the Supplier’s control (in particular events of force majeure) make it impossible or significantly impede or endanger the performance of the Service/Listing. In this case the Supplier shall directly contact the Guest to rearrange.

If you cancel without a valid reason more than 3 times, Vacaj may terminate your account.

Upon termination, Vacaj shall be under no obligation to provide you with a copy of any content posted by or about you on the Vacaj Platform. If we terminate your registration, we have no obligation to notify you of the reason, if any, for your termination.

Suppliers Responsibilities

Suppliers are responsible for their own acts and omissions. They are responsible for setting their rate/price and establishing rules and requirements for their Service/Listing.

Suppliers must describe any fees and charges in their Service/Listing description. As a Supplier, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect or include in your rate/price any applicable VAT or other indirect taxes, income or other taxes.

Managing Suppliers Listings

Suppliers can set up and manage their Listings. Your Listings must include complete and accurate information about your Service, your rate/price and any rules or requirements that apply to the Guests or Listings.

*All babysitters must add at least one appropriate photo of themselves otherwise their profile Listing wont be approved.

You are responsible for keeping your Service information and content (like images) up-to-date and accurate at all times. You are responsible for understanding and complying with any laws, rules, regulations and contracts with third parties that apply to your Listings.

Provision of the Service

Both Guests and Suppliers must be on time at the meeting point.

Suppliers are independent contractors and not agents, employees or partners of Vacaj and the Suppliers act exclusively on their behalf and for their own benefit, and not on behalf, or for the benefit, of Vacaj. We are not liable for the acts, errors, omissions, representations, warranties, breaches, negligence or misconduct of any Supplier or for any personal injury, death, property damage or other damages or expenses resulting therefrom or otherwise arising from any booking or Service.

Reviews

Both Guests and Suppliers will have an opportunity to review each other after a Supplier Service. You are fully responsible for the review you post. Your review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates these terms or applicable law.

Content

The Vacaj Platform enables you to provide text, images, videos and other material, data or information (“Content”). You are fully responsible for the Content you provide.

It is strictly forbidden to provide Content on the Vacaj Platform that:

(i) is untrue or misleading;
(ii) is created in return for remuneration from a third party;
(iii) violates the intellectual property, privacy or other rights of a third party; or
(iv) contains links or similar information/references that are likely to impair the functioning of third-party data processing systems.

You understand and agree that Vacaj may, in its sole discretion, review, edit and delete any Content, in each case in whole or in part, that in the sole judgment of Vacaj violates these Terms or which Vacaj determines in its sole discretion might be offensive, inappropriate, illegal or that might violate the rights, harm or threaten the safety of users of the Vacaj Platform or others.

Payment and Fees

The use of the Vacaj Platform is free for the Suppliers.

The Supplier is paid directly from the Guest, upon arrival of the booking, or as agreed with the Guest.

Suppliers may charge additional fees, specified in the description of each Service or Listing.

To complete a booking, the user pays the Reservation fees to the Vacaj. With the successful payment to Vacaj, the user will receive a confirmation email for their booking and contact details of the Supplier they have chosen. That includes phone number and email. With these terms you agree to provide these personal contact details to the user who has requested and confirmed the booking.

Vacaj Platform Rules

You agree to the following rules

- Use the Vacaj Platform as authorized by these Terms and comply with all applicable laws.

- Act with integrity and treat others with respect

- Do not compromise or impair the Vacaj Platform

- Do not spam, solicit money from or defraud any Users

- Use another User’s personal information as authorized by these Terms.

- Don’t use the Vacaj Platform, its messaging tools, or User’s personal information to send commercial messages without their consent.

- Use Content made available through the Vacaj Platform solely as necessary to enable your use of the Vacaj Platform as a Guest or Supplier.

- Don’t use, copy, display, publish or reproduce the Vacaj Platform, any Content or any page layout or design without our consent.

Services are created for non-sexual purposes. The Services cannot be used for the provision of sexual or erotic services by the Users.

We reserve the right to restrict your booking of services, or cancel services you have booked, in the case of suspected fraud, violation of these Terms or violation of obligations under the Service Agreement, which become known to Vacaj.

Vacaj reserves the right, in its sole discretion, to immediately terminate your access to all or part of the Vacaj Platform or cancel Services you have booked, to remove your profile and/or any content posted by you and/or to terminate your account with Vacaj, with or without notice for any reason or no reason in its sole discretion, including without limitation if Vacaj should determine that you are not eligible to use the Services, have violated any terms stated herein or in any of the additional Terms, are not suitable for participation as a User, have mis-used or mis-appropriated Vacaj Platform content.

Registration and User Account

You must register an account to access and use all features of the Vacaj Platform. Registration is only permitted for legal entities and natural persons who are 18 years or older. If you are a Business Supplier according to Section “Additional Terms for Business Suppliers”, additional terms apply.

In order to create an account (“Account”), you must enter your full legal name and email address in the registration form on the Vacaj Platform and may set a password. You must provide accurate, current and complete information during registration. You must keep this data secret so that no third party has access to your account. You may not transfer the account to anyone else.
You must immediately notify Vacaj if you suspect that your credentials have been lost, stolen or your account is otherwise compromised.

Communication through the site; Not sharing contact details

For purposes of the Terms of Use, “Means of direct contact” means any information that would allow another person to contact you directly, including, without limitation, phone number, email address, physical address, a link to a contact form or form requesting contact information, or any information that would enable a user to contact you on social media or other website or platform or application that includes a communications tool, such as Skype or Facebook. Information is a Means of direct contact if it would enable another user to identify any of the information above through other sources, such as going to a website that included an email address or identifying you through social media.

You acknowledge and agree that a violation of this Section is a material breach of the Terms of Use and your Account may be permanently suspended for such violations.

Disclaimer

Vacaj does not employ any Supplier and is not responsible for the conduct, whether online or offline, of any Supplier.

Suppliers content is primarily user generated. Vacaj does not control or vet user-generated content for accuracy and does not assume and expressly disclaim any responsibility for the accuracy or reliability of any information provided by Suppliers on or off the Vacaj Platform. Vacaj cannot and do not confirm purported identity of the Users. You are responsible for determining the identity and suitability of others with whom you may match by means of our Services. Vacaj does not endorse any persons who use or register for the Services which are provided by the Vacaj Platform.

Vacaj does not refer or recommend Suppliers nor does Vacaj make any representations about the suitability, reliability, timeliness, or accuracy of the services provided by Suppliers or the integrity, responsibility or actions of Guests and Suppliers. Any screening of a Supplier and his, her or its information by Vacaj is limited and should not be taken as complete, accurate, up-to-date or conclusive of the individual’s or entity’s suitability as Supplier. Any references to a User being “verified” (or similar language) indicate only that the User or Vacaj has completed a relevant verification or identification process and nothing else.

We are not responsible for outages or disruptions of the Internet and telecommunications infrastructure which are beyond our control and can lead to interruptions in the availability of the Vacaj Platform.

We do not control, monitor or supervise the quality, timing, hours, pay, legality, or any other aspect of services delivered by Suppliers, nor do we require Suppliers to accept or work any jobs or deliver any services at all.

Vacaj is not responsible for any damage or harm resulting from your interactions with other Users. Vacaj reserves the right, but has no obligation, to monitor interactions between you and other Users and to take any other action in good faith to restrict access to or the availability of any material that the Vacaj Platform or another Users may consider obscene, lewd, lascivious, filthy, violent, harassing or otherwise objectionable.

Limitation of Liability

Vacaj shall not be liable to you or others for any indirect damage or any loss of data, opportunities, reputation, profits or revenues, related to the use of our Services.

UNDER NO CIRCUMSTANCES WILL VACAJ’S AGGREGATE LIABILITY, IN ANY FORM OF ACTION WHATSOEVER IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SERVICES OR THE VACAJ PLATFORM, EXCEED THE PRICE PAID BY YOU FOR YOUR ACCOUNT.

Indemnification

By agreeing to these Terms, users of the Vacaj Platform agree to indemnify, defend and hold harmless Vacaj from and against any and all claims, losses, expenses or demands of liability, including reasonable attorneys’ fees and costs incurred by Vacaj in connection with any claim by a third party (including an intellectual property claim) arising out of

- (i) materials and content you submit, post or transmit through the Vacaj Platform,

- (ii) use of the Vacaj Platform by you in violation of these Terms of Use or in violation of any applicable law, or

- (iii) any relationship or agreement formed with a Supplier using the Vacaj Platform.

Users further agree that they will cooperate as reasonably required in the defense of such claims. Vacaj reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by users, and users shall not, in any event, settle any claim or matter without the written consent of Vacaj.

Additional Terms for Business Suppliers

If you are a Business Supplier (“Business Supplier”), these additional terms will apply to you:

As a Business Supplier you commit to comply with the applicable law.

You will be required to provide at least the following information (where applicable) to Vacaj in order to offer Supplier Services as a Business Supplier on the Vacaj platform:

- your name, business name, address, telephone number and email address

- a copy of your identification document or any other electronic identification

You will not be able to offer Supplier Services on the Vacaj Platform until Vacaj has been able to assess that the information is reliable and complete. We may require you to provide additional documentation.

You represent that all information indicated by you during account registration is correct and you are required to keep your information up-to-date at all times.

The Business Supplier is liable for damages caused intentionally or through gross negligence by them, their employees and assistants, in case of willful reticence regarding defects, explicit guarantees or for consequential damages from personal injury (to life, physical and health). Vacaj is not liable for the obligations resulting from Service Agreements. In particular, Vacaj is not liable for the failure of Business Suppliers to comply with the rules of public law.

These Terms do not create any kind of partnership, joint venture, advisor, agency or any similar relationship between the Business Supplier and the Vacaj Platform or any other person or entity.

Vacaj may charge either a recurring subscription or other fees to Business Suppliers for the right to use the Vacaj Platform. Any applicable fees are disclosed to Business Suppliers before publishing their profile. Except as otherwise provided on the Vacaj Platform, all fees are non-refundable.

When you sign up for a Vacaj paid membership subscription, you agree to pay Vacaj all charges associated with the subscription.

The fees and the amount of a Service are paid to the Vacaj and the Business supplier separately.

All payments for subscriptions are non-refundable and there are no refunds for unused or partially used subscriptions, even if you cancel your membership or a subscription in the middle of a term.

You may cancel your paid membership subscription at any time. If you cancel a paid subscription, you typically will be permitted to use your subscription until the end of your then-current subscription term.

Applicable Law

Any legal disputes arising from or in relation to a contract drawn up by Vacaj.com on the one hand and a consumer on the other, are governed exclusively by Greek law. The Courts of Athens are responsible for resolving these disputes.

This is a set of provisions which are incorporated and govern every contract drawn up by Vacaj.com and a consumer. The possible invalidity of one of these provisions does not affect the validity of the remaining provisions herein.
